1. Scope of Application

1.1 These General Terms and Conditions (hereinafter “GTC”) regulate the use of the online trading platform Watch2Watch GmbH (hereinafter “Platform”) by registered commercial dealers within the European Union.
1.2 Consumers within the meaning of § 13 BGB are excluded from use.
1.3 German law applies exclusively, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).

2. Contracting Parties and Platform Purpose

2.1 The contracting party to these GTC is Watch2Watch GmbH, Petersstrasse 35, 09599 Freiberg, represented by Falk Arnold (hereinafter “Operator”).
2.2 The Platform serves to facilitate purchase agreements between commercial watch dealers.
2.3 The Operator itself will not be a contracting party to the purchase agreements concluded via the Platform. It merely provides the technical and organizational infrastructure.
2.4 Use of the Platform requires an existing business within the EU.

3. Registration and Access Requirements

3.1 Access is exclusively reserved for companies that can prove a valid business registration.
3.2 Required are:

  • Name, address, proof of business activity (e.g., trade license or commercial register extract),
  • Proof of identity (ID card / passport with registration certificate),
  • successful KYC verification via the Online Payment Platform B.V. (OPP, NL).

3.3 Registration is considered complete once the Operator confirms activation via email.
3.4 Access is company-bound and may not be passed on to third parties outside the company.

4. Conclusion of Contracts between Dealers (updated)

4.1 By clicking the “Kauf bestätigen” / “Confirm purchase” button, the buyer submits a binding offer to conclude a purchase agreement for the respective watch.
By clicking, the buyer simultaneously confirms that they are acting as a commercial dealer and are legally bound by the offer.

4.1.1 The binding purchase is queried twice to prevent accidental purchases. (“Are you sure you want to place this binding order?”)

4.2 The seller accepts the offer by confirming it via the Platform.
With this acceptance, a binding purchase agreement is concluded between the buyer and the seller.

4.3 After conclusion of the contract, the buyer automatically receives:

  • an order confirmation with all watch data, reference numbers, and the agreed purchase price,
  • a payment request from Watch2Watch GmbH with an individual purpose of use for transfer to the escrow account of Online Payment Platform B.V. (OPP).


4.4 Upon conclusion of the purchase agreement, payment is due within two banking days.
If the buyer fails to make timely payment, they will be in default of payment without further notice.

4.5 Watch2Watch GmbH is not a contracting party to the purchase agreement between buyer and seller, but exclusively provides the platform and payment infrastructure.

4.6 Withdrawal or cancellation after conclusion of the contract is only possible within the framework of the complaint or reversal procedures regulated in Section 6.

5. Payment Processing via OPP

5.1 Payment processing is exclusively carried out via the Online Payment Platform B.V. (Netherlands) on behalf of Watch2Watch GmbH.
5.2 The buyer must pay the purchase price within two banking days via SEPA transfer to OPP.
5.3 After receipt of payment, the seller is informed and obliged to ship the goods within two working days.
5.4 The money remains secured in escrow until released by the buyer.
5.5 If the buyer does not release the payment within two banking days after receipt of the watch, automatic release to the seller will occur.
5.6 In case of payment default, only the buyer is liable; the operator is not obliged to collect debts.

6. Inspection and Reversal Process (updated – final version)

6.1 After receiving the watch, the buyer has 48 hours to inspect it for completeness, condition, and conformity with the description.

6.2 The inspection period begins at the time of documented delivery according to the shipping service provider’s tracking number.
Delivery also includes acceptance of the shipment by third parties at the receiving location (e.g., employees, family members, neighbors, or reception staff).
Personal handover to the buyer is not required.

6.3 If the buyer discovers a defect, deviation, or possible counterfeit within this period, they can submit a complaint via the Watch2Watch platform.

6.4 Upon receipt of the complaint, the purchase process is automatically paused, and the amount deposited in the escrow account of Online Payment Platform B.V. (OPP) is frozen until the situation is clarified.

6.5 In this case, Watch2Watch GmbH acts as an intermediary and contacts both the buyer and the seller to facilitate an amicable solution.

6.6 For complaints due to suspected counterfeiting, an empty package, or manipulation of the goods, the following burden of proof applies:

  • The seller must document the proper packaging and shipment of the watch with a continuous video showing the entire process from placing the watch in the packaging to sealed handover to the shipping service provider.
  • The buyer must document the unboxing process upon receipt of the shipment with a continuous video showing the uninterrupted sequence from opening the package to removing the goods.
  • Only uninterrupted video recordings are accepted as valid proof. Photos, single shots, or subsequent documentation are not considered sufficient.


6.7 If a reversal occurs,

  • the buyer bears the return shipping costs including insurance,
  • the refund will only be made after confirmed return receipt of the watch via OPP.


6.8 If, after examination and consultation with both parties, and based on the submitted evidence (especially uninterrupted video recordings), it is determined that the delivered watch is counterfeit or does not correspond to the agreed description, the following applies:

a) Watch2Watch GmbH will arrange for the amount frozen in the OPP escrow account to be transferred back to the buyer.
b) In this case, the seller bears all return shipping costs including insurance as well as the platform fee for the transaction concerned. The platform fee will either be withheld from the refund or — if the refund has already been made — charged to the seller’s account or separately claimed.
c) Watch2Watch GmbH reserves the right to immediately suspend the seller’s account concerned in case of justified suspicion of counterfeiting and to take further measures (e.g., permanent exclusion, reporting to authorities).

6.9 If no agreement is reached, Watch2Watch GmbH may, at its sole discretion, make a decision within the framework of its platform guidelines or forward the matter to OPP for a final payment decision.

6.10 The platform assumes no liability for the condition of the goods, incomplete video recordings, or the execution of the purchase agreement itself.

7. Fee Model (updated incl. complaint rule)

7.1 For each transaction successfully brokered via the platform, Watch2Watch GmbH charges a fee of 2.5% of the sales price, with a minimum of €10 and a maximum of €1,000 per transaction.

7.2 The fee is automatically deducted upon payout via the escrow account of Online Payment Platform B.V. (OPP).

7.3 The use of the escrow account and platform services is considered rendered upon completion of the purchase process.
If a complaint is made via the Watch2Watch platform within 48 hours after purchase or delivery, the fee for the use of the escrow account and platform services nevertheless remains due and will be retained.
This applies regardless of whether the transaction is later reversed or renegotiated.

7.4 Exception for proven counterfeiting / misleading description: If, after completion of the complaint procedure according to Section 6, it is definitively determined that the delivered goods are counterfeit or substantially deviate from the description, the seller bears the platform fee (instead of the buyer). In this case, the platform fee will be withheld from the refund amount or charged to the seller’s account or separately claimed.

7.5 During an ongoing complaint, the money already paid by the buyer is frozen in the OPP escrow account and will only be released after final clarification or agreement.

7.6 A one-time KYC fee of €50 is charged upon initial registration and is non-refundable.

7.7 All fees are understood as gross in Euro (€) and are calculated including the respective valid statutory value-added tax.

8. Shipping, Insurance, and Transfer of Risk (updated)

8.1 The seller is obliged to ship the sold watch within two working days after payment confirmation by OPP.

8.2 Shipping must be carried out exclusively via a traceable shipping service provider with shipment tracking (tracking number).
Without depositing a valid tracking number on the platform, the sales process cannot be continued.

8.3 The seller bears the shipping and insurance costs.
The shipment must be insured for transport up to the full purchase price.

8.4 The transfer of risk occurs upon handover of the watch to the transport company, provided the seller has properly fulfilled the shipping and insurance requirements.

8.5 In case of loss or theft during transport, the shipper is liable, unless the insurance or shipping service provider provides compensation.

8.6 If no tracking number is submitted or shipment is not confirmed in due time, Watch2Watch GmbH reserves the right to pause the process or temporarily suspend the seller’s account until proper proof has been provided. If proof is not provided, the sale will be terminated by Watch2Watch GmbH, and the incurred costs will be charged to the seller as described in point 6.8 b and must be borne by the seller.

9. Liability and Warranty

9.1 The Operator is not liable for faulty or fraudulent offers.
9.2 Sellers are fully liable for the authenticity, description, and delivery of their watches.
9.3 The Platform provides no guarantee for the solvency of buyers.
9.4 OPP is exclusively liable for the proper safekeeping and disbursement of received funds.
9.5 The Operator is not liable for lost profits or consequential damages.

9.6 If a complaint proves that the seller has delivered counterfeit goods or that the goods significantly deviate from the agreed description, the seller bears all resulting costs (including return shipping costs, platform fee, and possibly damages). In such cases, Watch2Watch GmbH reserves the right to take further measures (e.g., suspension, exclusion, reporting to competent authorities).

10a. Image Material and Content (updated version)

10a.1 Dealers may only upload images to the platform that show the watch actually offered for sale.
Symbolic photos, promotional photos, or third-party image material are not permitted.

10a.2 The dealer may only use their own, self-created photos for which they hold the unrestricted copyright or the corresponding rights of use.
The use of images for which third parties hold rights (e.g., from the internet, from manufacturers, or other dealers) is strictly prohibited.

10a.3 All uploaded content (texts, images, videos) must be truthful, factual, and free from misleading representations.

10a.4 The posting of advertisements, logos, contact information, or external links in image or text form is prohibited.
Only neutral product images of the offered watch are permitted.

10a.5 Images or content that violate applicable law or public morals are prohibited.
These include, in particular:

  • pornographic, glorifying violence, or discriminatory representations,
  • politically or religiously motivated content,
  • third-party brand logos or copyrighted material.

10a.6 Watch2Watch GmbH is entitled to delete images or listings that violate these provisions without prior notice and to temporarily or permanently suspend the corresponding dealer account.

10a.7 In case of repeated or intentional violations of these guidelines or copyright regulations, Watch2Watch GmbH reserves the right to permanently exclude the dealer and remove existing listings.

11. Suspension, Termination, and Contract End

11.1 Dealers can terminate their account at any time via email.
11.2 The closure can take up to 14 days.
11.3 The Operator can suspend or terminate the account if:

  • counterfeit watches are offered,
  • there is suspicion of money laundering,
  • repeated violations of rules occur.

11.4 In such cases, a penalty payment equal to the watch’s value may be demanded.

12. Data Protection and Data Storage

12.1 All data is stored in Germany.
12.2 Only the Operator and OPP have access.
12.3 Upon account deletion, data will be deleted unless statutory retention obligations (up to 10 years) exist.
12.4 Payment data is processed exclusively by OPP (not stored on the platform).

13. Platform Availability

13.1 There is no SLA or claim to constant availability.
13.2 In case of technical failures, all registered dealers will be informed; payments via OPP will be frozen.
13.3 There is no claim for compensation for downtime.

14. Final Provisions

14.1 Amendments to these GTC will be announced via email and are considered accepted if the dealer does not object within 14 days.
14.2 The place of jurisdiction is the registered office of Watch2Watch GmbH.
14.3 German law applies exclusively.
14.4 Should any provision be invalid, the validity of the remaining provisions remains unaffected.
